Utrecht (Netherlands) and Tuttlingen (Germany)

Gilde Healthcare’s group of contract manufacturers for complex surgical instruments and implants (“SPI”) is acquiring BENTEC Endoscopy (“BENTEC”). The transaction marks another significant milestone in building a leading group for the contract manufacturing of surgical instruments.

With the addition of BENTEC, SPI will grow to over 380 skilled specialists across five sites in southern Germany. The acquisition extends the group’s offering into flexible and semi-flexible endoscopy instruments, adds complementary production capabilities and deepens the pool of technical know-how shared across the group’s companies.

Based in Rietheim-Weilheim, Germany, BENTEC Endoscopy develops and manufactures high-precision instruments, components and assemblies for minimally invasive endoscopic procedures. Its product portfolio comprises flexible and semi-flexible biopsy forceps, graspers and scissors across six clinical application areas. The company brings close to four decades of manufacturing experience and is widely recognized for the quality and precision of its work.

With the acquisitions of Chr. Diener (2022), Koscher & Würtz (2023) and Rudischhauser (2026), Gilde Healthcare has been building a group of renowned contract manufacturers of surgical instruments and implants. Given the increasing consolidation in this market, Gilde Healthcare plans to expand SPI further through additional strategic acquisitions as well as organic growth.

Ewald Bacher (Founder), Désirée Bacher-Zwick, and Bastian Bacher Managing Directors of BENTEC, said: “Joining SPI opens an exciting new chapter for our company. SPI’s scale and resources give us the backing to grow our endoscopy business further. Becoming part of a group that shares our understanding of precision manufacturing was an important factor in taking this step.”

Dr. Christian Stark, CEO of SPI, commented: “We are delighted to welcome BENTEC to SPI. BENTEC extends our capabilities into flexible and semi-flexible endoscopy instruments, allowing us to serve our customers across a broader range of minimally invasive applications. We look forward to continuing SPI’s growth by adding further specialized medical technology manufacturers.”

Rafael Natanek, General Partner at Gilde Healthcare Private Equity, said: “The acquisition of BENTEC is another important step in building a leading group in the contract manufacturing of surgical and endoscopic instruments and implants. BENTEC’s high-precision manufacturing expertise, long-standing customer relationships and product range fit SPI’s existing offering exactly, making the company a strongaddition to the group”.
